SystematicSuccess.com - Terms and Conditions

This document is officially referred to as the SystematicSuccess.com Terms and Conditions. It includes the SystematicSuccess.com Policies and Procedures, Refund Policy, Earnings Disclaimer, Membership Agreement and also includes or makes reference to other Policies enforced by SystematicSuccess.com.

Standards All Members Must Follow
Members of SystematicSuccess.com agree to always act honesty and fairly in a way that, when representing SystematicSuccess.com, will enhance the reputation of all Members and SystematicSuccess.com.

Members agree to always offer full support as a sponsor of their personally referred Activated Members and future prospective Activated Members. All Members undertake to never engage in deceptive or illegal practices or make less than entirely truthful and accurate claims regarding SystematicSuccess.com products, the compensation plan, services, and administrative officers.

Members undertake not to make false public projections and claims regarding the income potential of any Member, including themselves and Members understand that the success of other Member's may differ substantially and is determined by many variables beyond the control of SystematicSuccess.com.

When promoting SystematicSuccess.com Members agree to be respectful of all prospective Members. This includes respectful acceptance of all prospective Member comments and questions as well as their privacy needs.

Members agree to be and understand that they are solely responsible for any and all legal and financial obligations that could result from their SystematicSuccess.com Membership. This includes but is not limited to self-employment taxes, income taxes, sales/use taxes, etc.

Members understand that the contents of this document will change occasionally at the sole discretion of SystematicSuccess.com and it’s officers, and therefore Members agree to review it from time to time, and may choose to remain a member or terminate his/her/their membership.

Members understand that if they have questions pertaining to any of the legal documents supporting SystematicSuccess.com they should contact legal counsel in their jurisdiction for answers to resolve those questions.

Membership Details
Members of SystematicSuccess.com are required to understand and abide by the rules, terms, and policies outlined by SystematicSuccess.com and its officers.

SystematicSuccess.com reserves the right to change the rules, terms, policies and web site content or any other aspect of its business at any time as they deem appropriate, and members may choose to remain a member or terminate his/her/their membership.

SystematicSuccess.com requires every Member to comply with all federal, state, provincial, and local laws, as well as all statutes and regulations governing Affiliate, Network Marketing, Multi Level Marketing and Internet Marketing.

Member Status
Individuals may become Members by agreeing to comply with all SystematicSuccess.com Policies and Terms and Conditions. An applicant wishing to become a Member must fill out the registration form online and pay the required fees to become an Activated Member.

SystematicSuccess.com and its officers reserve the right to reject any person wishing to become a Member or withdraw the Activated status of Members for any reason. 

Withdrawal of Member's Activated status by SystematicSuccess.com after any fees have been collected may be refundable at the discretion of SystematicSuccess.com and its officers, and depending on the reason for termination of the Member's account.

Any personal information collected on the SystematicSuccess.com registration form will be retained in accordance with the SystematicSuccess.com Privacy Policy.

Member is defined as someone who is involved with SystematicSuccess.com for either one or both of the following reasons: To use Services and to build a home based business based upon the suite of products and services which are offered to all members.

The initial fee for Members to get started is $31, which includes $15.50 for the first week subscription to Services, and a $15.50 setup fee which is non refundable.
Thereafter, a Member will pay $15.50 per week, which includes their Services subscription.

Every Member has access to the SystematicSuccess.com Members Only Web Site. Members have their own SystematicSuccess.com turnkey web site for referring others to the SystematicSuccess.com Services and the ability to earn commissions for any sales they make from their personal web site. Earnings and access depend upon membership being active.

Member Status Rules
All Members are independent contractors of SystematicSuccess.com. Membership accounts with SystematicSuccess.com are not franchisees, joint ventures, or partnerships with SystematicSuccess.com, nor does any Member count as an employee, agent, or administrator for SystematicSuccess.com, unless otherwise directly solicited as such by SystematicSuccess.com and its officers.

Members are strictly prohibited from stating or implying that they hold or maintain any other type of relationship with SystematicSuccess.com.

Members, Activated, Non-Activated or Lapsed Members have no authority to bind SystematicSuccess.com to any obligation.

Members immediately enter the status of Lapsed if SystematicSuccess.com is unable to successfully bill the weekly fees due. SystematicSuccess.com may attempt to bill subscription fees multiple times during the course of the Lapsed Period.

During the Lapsed Period Members will not have the ability to earn, claim or withdraw earnings. Members will temporarily retain their ability to access their SystematicSuccess.com web site as a Lapsed Member. They will also temporarily retain their position in the Activated Matrix, as well as any personal enrollees and prospects they may have gained from their efforts for a said period of time, that said period of time not to exceed 3 weeks.

If after the 3-week period SystematicSuccess.com is unable to successfully bill the Member, the Member’s account will be terminated. All personal prospects, members, the SystematicSuccess.com Matrix position and un-claimed and un-paid earnings will be forfeited.

Members can update their billing information at any time by logging into their SystematicSuccess.com site and visiting Edit Account in their SystematicSuccess.com site.

If a Member wishes to cancels their own account, the Member immediately forfeits all personal prospects, Activated and Non-Activated Members, uncollected earnings and their position in the SystematicSuccess.com Activated Matrix.

Members can become terminated from SystematicSuccess.com for violations of the Terms and Conditions or any other Policies, including but not restricted to a members failure or inability to meet, comply with, or adhere to the corporation’s standards and principles of corporate compliance and governance. Members whose status becomes terminated immediately lose all access and rights to SystematicSuccess.com, their list of members and prospects in the system, and any uncollected earnings.

Member Fee Requirements
All persons accepted by SystematicSuccess.com can register in SystematicSuccess.com as an Activated Member. To register as an Activated Member the initial registration of $31 must be paid and $15.50 per week thereafter, and receive the level of services that an Activated Membership holds.

The fees are for $15.50 Services subscription, $15.50 setup. Services subscription payments are refundable under certain terms setup fees are nonrefundable.
Any monies paid to SystematicSuccess.com for any reason can only be paid by a method listed on the site only.

Member Rights
A person chooses of their own free will to become an Activated Member and may choose to promote SystematicSuccess.com under the terms and conditions set forth in the polices of SystematicSuccess.com. Members will have to abide by certain terms to qualify to maintain a position in the SystematicSuccess.com matrix.

Members can cancel their account with SystematicSuccess.com at any time by cancelling their subscription payment.

Members have the right to request a full refund of the SystematicSuccess.com Services subscription fees if they cancel their account within 7 days of registering.

The setup fee is non-refundable. Please see the Cancellation Policy section below for exact details.

Members must be of legal age, age of the majority or voting eligibility age (whichever maintains precedence) in the state, province, or country of their primary residence, unless they can provide legal exception allowing them to participate. SystematicSuccess.com maintains the right to ask any Member to provide proof of age for any reason.

Multiple Member Accounts
Members may not have more than one Activated Member account in SystematicSuccess.com. Any and all information held by SystematicSuccess.com in a Member's record can be used at the discretion of SystematicSuccess.com to determine if Member has direct ties to more than one account SystematicSuccess.com may terminate any or all of the members accounts if a member fails or is unable to meet, comply with, or adhere to the corporations standards and principals of corporate compliance and governance.

SystematicSuccess.com and its officers reserve the right to terminate any account held by the same Member should the member not adhere to the strict terms and policies of SystematicSuccess.com if any one of those accounts become lapsed and remain so for a period of 3 weeks regardless of the status of other accounts held by the same member, and/or fails or is unable to meet, comply with, or adhere to the corporations standards and principals of corporate compliance and governance. Refunds will not be offered on accounts terminated for cause as defined in this paragraph.

Member Identification
Members may be required at any time to provide SystematicSuccess.com with a valid government-issued tax identification number (or other means of identification as mandated by the Members home domicile tax authority), as well as a current and valid billing and mailing address, photographic identification, phone number and e-mail address.

This personal information will be used for purposes pertaining to Members SystematicSuccess.com account and internal corporate compliance and governance, only and will be kept in a secure location by SystematicSuccess.com.

Failure to provide such requested information and proof that it is current will result in termination of the Members SystematicSuccess.com Membership.

Any penalties or fines that may result from issuing an incorrect tax identification number or other personal information to SystematicSuccess.com or its officers will be the sole responsibility of the Member.

Member Advertising and Account Rules
No Member has exclusive marketing and sponsorship rights over a specific territory. Members found to be implying such rights shall be immediately terminated from SystematicSuccess.com. No Member has been given the authority to supply other Members with exclusive marketing material, methods, leads, etc. for any purpose.

Members found to be implying such rights, either online or offline, shall be immediately terminated from SystematicSuccess.com.

No Member has the right to promote and collect funds from the sale of SystematicSuccess.com Services from any third party web site. The only web sites where the sale of SystematicSuccess.com Services can occur are those provided by SystematicSuccess.com using SystematicSuccess.com’s merchant account(s) to collect funds from the sale.

Members found collecting funds for the sale of SystematicSuccess.com Services in any other form shall be terminated immediately.

Member Legal Compliance and Taxation
It is the Members responsibility to stay informed and comply with all international, national, federal, state and/or provincial statutes, laws and regulations, and all local ordinances and rules concerning all aspects of their SystematicSuccess.com business. Members are responsible for their own managerial decisions and expenditures, including taxes. Since no Member is a SystematicSuccess.com employee, with respect to any law, statute or rule for federal or state tax purposes SystematicSuccess.com is not responsible for payment or co-payment of any employee benefits and/or taxes.

Members are not franchisees, joint venture’s, partners, employees or agents with respect to the United States Internal Revenue Code, Social Security Act, any federal, state and/or provincial unemployment act(s), or any federal, state, provincial or local laws, statutes, ordinances, rules or regulations of any jurisdiction whatsoever. All Activated and Non-Activated Members are considered to be Independent Contractors, with such status resulting in a non-employee status in all locations.

Promoting Other Products and Opportunities
Members are strictly prohibited from selling or promoting other companies products, services and/or business opportunities to all SystematicSuccess.com Members with the exception of those they personally referred to SystematicSuccess.com, unless an agreement in writing has been executed with SystematicSuccess.com and its officers.

Confidential Information
All information found anywhere in the SystematicSuccess.com site and Services sites, as well as the content of any SystematicSuccess.com live calls is considered proprietary and confidential and for access by Members only. Information pertaining to other Members on the SystematicSuccess.com team shall not be shared with non SystematicSuccess.com Members or any third party. Failure to observe and abide by this condition shall result in the termination of membership.

Restricted Countries
Due to legal and tax considerations SystematicSuccess.com may be forced to exclude residents of certain countries from becoming an Activated Member of SystematicSuccess.com.

Any Member found to be recruiting, targeting advertisements to, training residents of, or doing any other activity related to building their SystematicSuccess.com business in restricted countries shall be immediately terminated.

SystematicSuccess.com Web Site Materials and Content
The name SystematicSuccess.com, all copyrighted material, Intellectual Property, SystematicSuccess.com logos, and the names of all Company Products and services are the intellectual property of, and owned by SystematicSuccess.com. Only SystematicSuccess.com and its officers are authorized to produce and market the Services of Sites, materials and literature under these intellectual property rights.

Use of the SystematicSuccess.com name in any manner without the express written approval of SystematicSuccess.com is strictly prohibited, and shall result in the immediate termination of membership.

Communications and Advertising
In all written promotional and information content both online and offline pertaining to SystematicSuccess.com, Members are permitted to use the SystematicSuccess.com name only with the express written approval of SystematicSuccess.com.

Any Member found to be transmitting, displaying, or sharing any form of self constructed marketing material pertaining to SystematicSuccess.com including, but not restricted to online and offline written material, endorsements, conducting live interviews, giving speeches, trade shows, etc. without the express written consent of SystematicSuccess.com shall his/her/their membership immediately terminated.

Telephone and Fax Solicitation
Members are prohibited from using the SystematicSuccess.com name or copyrighted materials with automatic calling devices, call centers, and fax broadcasts to solicit new business.

E-mail Solicitations
The use of Unsolicited Commercial E-mail (UCE), Unsolicited Bulk E-mail (UBE) or Spam is strictly prohibited by SystematicSuccess.com. All e-mails sent out by Members to promote their SystematicSuccess.com business must fully comply with SystematicSuccess.coms strict Spam Policy any breach of these conditions shall result in immediate termination of membership.

Failure to comply will result in immediate termination of the guilty Member's SystematicSuccess.com account with all pending earnings and valuables forfeited and no further access to their SystematicSuccess.com site.

Income Claims
No income projections may be made public to other Members or any prospective Members. SystematicSuccess.com Members are strictly prohibited from publishing their Real earned commissions as enticement to a prospective Member. Members cannot guarantee commissions, bonuses, etc.

Payment Options
Prospective Members of SystematicSuccess.com may only use any current payment processor displayed and made available on the SystematicSuccess.com site.

Price Changes
SystematicSuccess.com Fees are subject to change without prior notice. Current prices for SystematicSuccess.com fees can be found on the SystematicSuccess.com Web Site should prices change, a member can choose to remain as a member or terminate his/her/their membership.

Membership Renewal
Members who want to maintain an Activated status with the ability to use the SystematicSuccess.com Services, have their own SystematicSuccess.com sales web site and receive earnings must be successfully billed by SystematicSuccess.com on the weekly anniversary day of their last payment to SystematicSuccess.com.

Requirements for participation in the SystematicSuccess.com Activated Matrix and receive earnings Income
Members must be current Activated Members to benefit from being a participant in the SystematicSuccess.com Activated Matrix and earn and receive earnings. Members are considered Activated once SystematicSuccess.com has received payment of all weekly fees.

Members must have Activated status to maintain eligibility to earn and receive earnings.

Sales and Earnings Eligibility
Earnings eligibility is detailed throughout the SystematicSuccess.com web site.
COMMISSIONS ARE PAID ONLY ON THE SALE OF SystematicSuccess.com Services, NOT ON THE ACT OF RECRUITING A NEW MEMBER. Every Activated Member of SystematicSuccess.com is by virtue of their Activated status considered a Services user.

Earnings Cycle Times
SystematicSuccess.com has weekly earning cycles that begin the Friday at 12:00 AM each week and end 11:59 PM each week.

Additional Bonus Pools and Ranks
Any changes or new implementations to the commission program and SystematicSuccess.com Matrix are effective the moment SystematicSuccess.com and its officers announce them as such.

Earning Payments
Once an Activated Member's Claimable and Claimed Earnings balance exceeds $31.00 they will be eligible to have earnings paid to them.

An Activated Member must first claim their earnings to receive them.

SystematicSuccess.com will pay earnings via an international designated processor of it’s choosing, at which time you may transfer your funds in accordance with the approved processors terms and conditions. Personal checks, PayPal, direct deposits, bank wires, or any other form of payment alternatives other than the above stated are not options for receiving earnings.

Commission Allocation Schedule
Members who have earnings from the sale of SystematicSuccess.com Services or team will have their earnings credited to their earnings balance in their SystematicSuccess.com site immediately after every successful sale that applies to them.

Each week between the hours of 12:00 AM to 11:59 PM Friday Activated Members can Claim their SystematicSuccess.com earnings for transfer to their Claimed Earnings Balance. All claimed earnings with a balance exceeding $31 and an active processor account will have those earnings sent to that account before the following Friday.

The SystematicSuccess.com Earnings
SystematicSuccess.com allocates a percentage (up to more than 90%) of sales as based on a proprietary private algorithm to Activated Members.
The SystematicSuccess.com Earnings does not guarantee that any one member will earn any monies. Earnings are based on many variables.

CANCELATION POLICY
An Activated Member can choose to cancel their SystematicSuccess.com account at any time by cancelling their subscription from the processors members area.

Cancellation requests can also be sent to the SystematicSuccess.com Support Team through a support ticket.

When an Activated Member cancels their account or requests cancellation, immediately all access to the Members Only area is terminated. All prospects, personal members, uncollected commissions, and the Activated position in the SystematicSuccess.com Matrix are forfeited by the Activated Member.

A canceled Activated Member who wants to become an Activated Member again in SystematicSuccess.com must set up a new account.

As stated in applicable laws all consumers are protected by the buyer’s right to cancel, formally the buyers right of rescission. Any SystematicSuccess.com Activated Member account canceled within 7 days of joining is automatically refunded unless the Activated Member has chosen to waive their right to the Refund Policy.

Membership Agreement

Amendments and Modifications
SystematicSuccess.com reserves the right to amend SystematicSuccess.com governing documents, Policies, Procedures, Terms and Conditions, the SystematicSuccess.com commission program, company web sites, etc. at any time, as the Company in its sole discretion deems appropriate.

Changes are considered effective and binding on all Members as of the date of them being posted live on the SystematicSuccess.com web site. Members who continue to participate in any SystematicSuccess.com program after such amended policies have been published by SystematicSuccess.com shall be deemed to have been accepted by all

Members and agreed to any such amended policies, terms and requirements.

Non-Waiver Provision
No failure, delay or omission of SystematicSuccess.com to exercise any right, power or provision contained within the SystematicSuccess.com Policies and Procedures shall constitute a waiver of SystematicSuccess.com’s right to demand exact compliance with all terms and provisions contained within the SystematicSuccess.com Terms and Conditions and/or Policies on future defaults by any member.

Indemnity Agreement
In consideration for receiving SystematicSuccess.com Products and/or for participating in any aspect of an SystematicSuccess.com program, each Member agrees to indemnify and hold harmless SystematicSuccess.com, its shareholders, general/limited partners, successors assigns, trusties, beneficiaries, employees, agents, attorneys, officers and directors in any corporate or other business capacity from and against any and all demands, liabilities, losses, costs, penalties, obligations, interest, damages and expenses of whatever nature or kind, including without limitation attorneys fees (including both outside and in-house counsel), and all other expenses, related to or arising from participation in any SystematicSuccess.com program.

Without limiting the generality of the for going, this indemnity shall extends to include without limitation any actions, results, causes of action or allegations in connection with (i) any Associate Member's SystematicSuccess.com business and its affiliates activities as an SystematicSuccess.com Member; (ii) any breach of any terms, policies and conditions agreed to by the Associate Member and/or contained in any of the SystematicSuccess.com Policies and Procedures and/or, (iii) violation of any federal, state, provincial and/or local law, statue, ordinance, rule or regulation.

Entire Agreement
All SystematicSuccess.com Terms and Conditions and Policies, as well as all other SystematicSuccess.com governing documents, are hereby incorporated into Member's Membership with SystematicSuccess.com. These together constitute the entire agreement of SystematicSuccess.com and any Member regarding their business relationship, and supersedes and renders all prior and contemporaneous agreements, claims, representations and understandings, oral and/or written, by or of the parties in connection with the subject matter hereof, null and in void in whole or in part.

Severability
If, under any applicable and binding law or rule of any applicable jurisdiction, any provision of these Terms and Conditions and Policies, or any specific standard or operating procedure which SystematicSuccess.com has proscribed, is held to be invalid or unenforceable, SystematicSuccess.com and its officers shall have the right to modify the invalid or unenforceable provision, specification, standard or operating procedure or any portion thereof to the extent required to make it valid and enforceable. The parties shall be bound by any such modification, and the modification will be effective only in the jurisdiction(s) in which it is required. Notwithstanding any such modification, if any provision of the SystematicSuccess.com Terms and Conditions shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the remainder of the SystematicSuccess.com Terms and Conditions and Policies, and shall not affect the validity and enforceability of any remaining provisions, nor shall it affect any other standard and operating procedures which SystematicSuccess.com has prescribed.

SystematicSuccess.com Liability
To the extent permitted by law, SystematicSuccess.com shall not be liable for, and all Members release SystematicSuccess.com and its officers from and waive all claims concerning, any loss of profits, any special or consequential damages, or any other losses incurred or suffered by any Activated Member and/or Guest as a result of: (a) the breach by the Activated Member and/or Guest of the terms and conditions specified in any SystematicSuccess.com Terms and Conditions or Policies; (b) the failure by an Activated Member to provide any information or data required by SystematicSuccess.com to operate its business and/or to conform to applicable laws; (c) any incorrect or falsified information provided, intentionally or not, by any Activated Member, or by any agent or authorized representative of any such Member; and/or (d) any failure or inability by a Member to meet, comply with, or adhere to the corporations standards and principles of corporate compliance and governance.

No Agency or Third-Party Beneficiary
SystematicSuccess.com is not the agent, fiduciary, trustee or other such representative of any Member. Nothing expressed or mentioned in or implied from these Terms and Conditions is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this Agreement.

Jurisdiction and Applicable Laws
The exclusive jurisdiction for any claim, controversy, lawsuit or resolution of any matter relating to or arising under any SystematicSuccess.com Terms and Conditions or Policies shall be the city of Toronto, ON, Canada. The laws of Canada govern this Agreement and all of its terms and conditions, without regard to any conflict of laws principles.

Arbitration
Except as noted herein, any dispute, controversy and/or claim arising out of or relating to SystematicSuccess.com, the SystematicSuccess.com business opportunity, SystematicSuccess.com Products, and/or any rights and obligations of Members, or any other claims or causes of action relating to the performance under these Agreements by either SystematicSuccess.com or any Member and/or Members purchase of SystematicSuccess.com Products shall be submitted exclusively before binding arbitration, with hearings to be held in  Toronto, ON, Canada, or such other location as SystematicSuccess.com may designate in its sole discretion.

Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may be reduced to judgment in any court of competent jurisdiction. This agreement to arbitration shall survive any termination or expiration of the Member Agreement. Notwithstanding the foregoing, the arbitrator shall have no jurisdiction over disputes relating to the ownership, validity or registration or any mark or other intellectual property, or any confidential or proprietary information belonging to or held by SystematicSuccess.com, without SystematicSuccess.com's prior written consent.

SystematicSuccess.com may seek any applicable remedy in any appropriate forum with respect to disputes and any money owed to SystematicSuccess.com. In addition to monetary damages, SystematicSuccess.com may obtain injunctive relief before a court of competent jurisdiction by ex parte proceedings against any individual for any violation(s) of SystematicSuccess.com Terms and Conditions and violation or misuse of them and all governing documents of SystematicSuccess.com.
